Sample Business Plan

A business plan is a formal written document containing business goals, the methods on how these goals can be attained, and the time frame within which these goals need to be achieved.

Sample Cap Table

A capitalization table (or “cap table”) is a document, like a spreadsheet or table, that details who has ownership in a company. It lists all the securities or shares in a company including stock, convertible notes, warrants, and equity grants.

Sample Pitch Deck

A pitch deck is a presentation deck that is used to pitch your idea or company to any number of audiences, generally investors.

Sample 5 Year Projections

The purpose of a 5 year projection is to provide an indication of how a company will perform financially over the next five years. Often with startups, the quality of your assumptions are more valuable than the actual numbers presented.

Sample Shareholders Agreement

A shareholders agreement is an arrangement among a company's shareholders that describes how the company should be operated and outlines shareholders rights and obligations. The shareholders agreement is intended to make sure that shareholders are treated fairly and that their rights are protected.

Sample Stock Option

A stock option is a contract between two parties in which the buyer purchases the right (but not the obligation) to buy/sell a predetermined number of shares of an underlying stock at a predetermined price from/to the option seller within a fixed period of time. Commonly used to reward early investors, advisors, founders, and employees.

Sample Joinder Agreement

An agreement joining a person as party to another (usually earlier) agreement as if such person was an original party to the agreement. Joinder agreements are commonly used when new shareholders receive shares and are made party to an existing unanimous shareholder agreement.

Sample ESOP

An Employee Stock Option Plan (ESOP) is an employee benefit plan that gives workers ownership interest in the company.  ESOPs reward employees with equity or discounted equity either vested through set milestones or in lieu of work performed.

Sample Corporate Resolution

A corporate resolution is a corporate action, sometimes in the form of a legal document, that will be voted on or has been voted on at a meeting of the board of directors for a corporation.

Sample Voting Trust

A voting trust is an arrangement whereby the shares in a company of one or more shareholders and the voting rights attached are legally transferred to a trustee.
